UF Online — Terms of Service
Effective date: 7 July 2026
1. Agreement & definitions
These Terms govern your use of UF Online (the "Service"), operated by DaemonForge Development ("DaemonForge", "we", "us"). By creating an account or using the Service you accept these Terms.
- Customer / you — the account holder (a business or a consumer).
- End User / Player — a person who interacts with a DayZ server connected to the Service.
- Customer Data — data you or your Players submit/generate (game data, player records, logs).
- KB Content — files/text you upload to a Knowledge Base.
- AI Output — content generated by AI features (chat, voice, images, embeddings).
- Credits — prepaid, metered usage units for UF Online's own services (not resold provider credits).
- Provider Services — third-party services we integrate (e.g. OpenAI, Anthropic, Cloudflare, Stripe, Discord).
2. Eligibility
You must be 18+ and able to form a binding contract. If you act for an organisation, you confirm you're authorised to bind it. Some clauses apply differently to consumers vs business customers — these are marked.
3. The Service
UF Online is a hosted backend for DayZ servers (database, messaging, AI, voice, images, Discord integration, management portal). AI features are probabilistic and may produce inaccurate, offensive, or infringing output (see §10). Provider Services are integrated and may change or be unavailable. We may add, change, or deprecate features.
4. Accounts, hives, keys & security
You're responsible for your account, your hives, your API keys, your members' access, and all activity under them. Keep keys secret; rotate/disable compromised keys promptly. You must provide accurate information and keep it current.
5. Acceptable use
Your use, and your Players' use, must comply with our Acceptable Use Policy, which is incorporated by reference. You must flow the AUP down to your Players and are responsible for their conduct.
6. Your data, our platform, and AI output (IP)
- You retain all rights in your Customer Data, KB Content, and Player data. You grant us a limited, worldwide licence to host and process it solely to provide the Service (including routing to Provider Services).
- We retain all rights in the platform, software, and UF Online trademarks.
- AI Output is provided to you "as-is" and (to the extent we can) assigned/licensed to you; you are responsible for how you use it. Provider output terms pass through (§16).
- Data roles: for Player data you are the controller and we are your processor under the DPA; for your account/billing data we are the controller (see Privacy Policy).
7. AI transparency obligations
The Service discloses to users when they are interacting with AI and marks/labels synthetic media as required (EU AI Act Art. 50). You must not disable these disclosures, and where you act as a deployer you must apply any deployer-side labelling required by law for your deployment.
8. Fees, credits, taxes & renewal
- Subscriptions are billed in advance, monthly or annually, and auto-renew until cancelled. Tier changes prorate.
- Credits are prepaid usage units for UF Online services, non-refundable and do not expire while your account is active, subject to the consumer rights in §9 and to discretionary goodwill/billing-error/service-credit exceptions we may grant.
- Taxes: prices exclude tax unless stated. We charge applicable VAT to EU consumers; VAT- registered business customers may be subject to reverse charge (provide a valid VAT id).
- Payments are processed by our third-party payment processor; you authorise the charges. Failed payment may lead to suspension (§12).
9. Consumer right of withdrawal & cancellation (applies to consumers in the EU/EEA)
- You normally have 14 days to withdraw from a distance contract for a digital service.
- For immediate access: at checkout you may expressly consent to us starting the service / supplying digital content immediately and acknowledge that you lose the 14-day withdrawal right once performance begins / once digital content is supplied. Credits you have already consumed are not refundable on withdrawal. (Implemented as a separate, non-pre-ticked checkbox.)
- Cancel any time: the portal provides an easy electronic "cancel" function (no harder than signing up) per the EU "cancel button" rules. Cancellation stops future renewals; it does not retroactively refund the current period except as required by law.
- Statutory rights unaffected: nothing here limits mandatory consumer rights.
10. Warranties & AI-output disclaimer
The Service and AI Output are provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, we disclaim all implied warranties (merchantability, fitness, non- infringement). AI Output may be inaccurate, offensive, defamatory, or infringing, is not professional advice, and must not be relied upon without human review. You are responsible for moderating and curating AI Output before it reaches your Players. Nothing in this section excludes liability that cannot lawfully be excluded (§11).
11. Limitation of liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
- Our total aggregate liability is capped at the greater of (a) the fees you paid in the 12 months before the event or (b) USD $100.
- Carve-outs (no exclusion/cap): liability for death or personal injury caused by negligence, fraud/wilful misconduct, liability under the EU Product Liability Directive to injured persons, and mandatory consumer rights are not excluded or capped.
12. Suspension & termination
We may suspend or terminate access for: AUP breach, illegal content, non-payment, security risk, or legal requirement. We aim to give notice where practical and, where we restrict your content or account, we will provide a statement of reasons and a way to contest it (§17). You may terminate at any time (§9). On termination we provide a data-export window of 30 days, then delete your data per the Privacy Policy/DPA.
13. Service levels
We target 99.5% monthly uptime. If we miss it, your sole and exclusive remedy is service credits — not refunds. Service credits exclude downtime from your misconfiguration, Player actions, Provider Service outages, force majeure, and scheduled maintenance.
14. Indemnification
- You indemnify us against claims arising from your or your Players' content, KB Content (including third-party/copyright material), misuse, AUP breaches, and failure to obtain required Player consents or handle minors. (For consumers, this applies only to the extent permitted by law.)
- We indemnify you (only) against third-party claims that the platform itself infringes their IP, subject to the caps in §11.
15. Changes to these Terms
We may update these Terms; we'll notify material changes via the portal or email with reasonable notice. Continued use after the effective date means acceptance; if you don't agree you may cancel.
16. Third-party Provider terms (pass-through)
Some features are powered by third-party Provider Services. You and your Players must comply with the applicable provider acceptable-use terms, which we identify and link in our documentation/sub-processor list. Provider Services are as-is, may change or cease, and you must hold all rights to content you submit through them. You must not resell or sublicense access in violation of provider terms.
17. Illegal content, notices & takedowns
We operate a notice-and-action process (EU DSA). To report allegedly illegal content or IP infringement, contact abuse@daemonforge.dev with the exact location, an explanation of why it's illegal/infringing, your contact details, and a good-faith statement. We act expeditiously, give the affected user a statement of reasons, and offer a route to contest. We maintain a repeat- infringer policy and report serious threats to safety to authorities.

18. Governing law & jurisdiction
- Business customers: these Terms are governed by the laws of Ontario, Canada, and you submit to the exclusive jurisdiction of the courts of Ontario (Toronto).
- Consumers: you benefit from the mandatory consumer-protection laws of your country of residence, and may bring claims in your local courts; nothing here deprives you of that.
19. Miscellaneous
Assignment (we may assign in a business transfer; you may not without consent), severability, no waiver, entire agreement, force majeure, and notices (via the email on your account). If any term is unenforceable, the rest remains in effect.
